This case, removed to this Court from Medina County Court of Common Pleas, involves breach of contract claims, unjust enrichment and conversion arising from a roofing project in Hawaii. Plaintiff, Soprema, an Ohio corporation that supplies roofing materials for construction projects, alleges that Defendants Beachside Roofing L.L.C. (“Beachside“) and A-1 Master Roofing, Inc. (“A-1”) were authorized Soprema contractors under written agreements that provided for inspection and testing by Soprema personnel.

Under the agreements, Soprema sent inspectors to Hawaii and inspected and tested A-1’s work. Despite the inspections, Soprema claims A-1’s workmanship was defective. After a mediation in Hawaii, Soprema agreed to remedy A-1’s work. Soprema alleges it is owed for testing, supervision and inspection costs incurred in connection with those efforts.

Best Roofing Company in Hawaii, a Utah corporation without employees, offices or facilities in Ohio, and A-1 argue that because the claim arose out of activities entirely in Hawaii, this Court lacks personal jurisdiction. Soprema counters that Defendants’ affidavits demonstrate ongoing contacts and that Bodell and A-1 have purposefully availed themselves of the privilege of conducting business in Ohio by purchasing its roofing materials and through their work on this project.
